These Terms & Conditions apply to all goods and services supplied by Brighter Blinds Ltd and Holcombe Interiors Ltd (“we”, “us”, “our”). By placing an order, accepting a quotation, or instructing us to proceed, you agree to be bound by these Terms & Conditions.
- Definitions
- Customer: The person or organisation placing an order.
- Goods: All products supplied, including but not limited to blinds, curtains, shutters, tracks, fabrics, and associated components.
- Services: Surveying, design, manufacture, supply, delivery, installation, and any associated works.
- Contract: The agreement formed upon acceptance of our quotation or order confirmation.
- Quotations
2.1 All quotations are valid for 30 days unless stated otherwise.
2.2 Quotations are based on information provided at the time and may be revised if specifications change.
2.3 Quotations do not constitute a binding contract until accepted by the Customer and confirmed by us.
- Orders
3.1 An order is deemed accepted once:
- Written confirmation is received, or
- A deposit is paid, or
- We are instructed to proceed with manufacture or installation.
3.2 Orders for made-to-measure or bespoke goods cannot be cancelled once manufacture has commenced.
- Surveys & Measurements
4.1 Where we carry out a site survey, all measurements are our responsibility.
4.2 Where measurements are supplied by the Customer or third parties, we accept no responsibility for errors or suitability.
4.3 Any additional work arising from inaccurate information supplied by the Customer may be charged.
- Prices
5.1 All prices are quoted in GBP (£).
5.2 Prices are exclusive of VAT unless stated otherwise.
5.3 Additional costs may arise due to:
- Variations requested by the Customer
- Site conditions not reasonably foreseeable
- Delays or access restrictions beyond our control
- Payment Terms
6.1 Payment terms will be stated on the quotation or invoice.
6.2 We reserve the right to request a deposit prior to manufacture.
6.3 Final payment is due immediately upon completion unless agreed otherwise in writing.
6.4 Late payments may be subject to interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- Ownership & Risk
7.1 Risk in the goods passes to the Customer upon delivery or installation.
7.2 Ownership of goods remains with us until payment is made in full.
- Installation
8.1 Installation dates are estimates and may vary due to manufacturing lead times, site conditions, or circumstances beyond our control.
8.2 The Customer must ensure safe and clear access to the installation area.
8.3 We reserve the right to charge for aborted visits where access is unavailable or work cannot proceed.
- Consumer Rights (Residential Customers)
9.1 Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015.
9.2 Made-to-measure goods are exempt from cancellation once manufacture has begun, in accordance with consumer legislation.
9.3 Any defects must be reported within a reasonable time.
- Commercial Customers
10.1 Business customers acknowledge that goods are supplied for commercial purposes.
10.2 We shall not be liable for indirect or consequential losses including loss of profit, business, or opportunity.
- Warranty & Defects
11.1 Goods are covered by manufacturer warranties where applicable.
11.2 We must be given reasonable opportunity to inspect and rectify any defects.
11.3 Normal wear and tear, misuse, or unauthorised alterations are excluded.
- Delays & Force Majeure
12.1 We are not liable for delays caused by events beyond our reasonable control including (but not limited to) supplier delays, weather conditions, labour shortages, or transport issues.
- Liability
13.1 Our liability is limited to the value of the goods and services supplied.
13.2 Nothing in these Terms excludes liability for death or personal injury caused by negligence.
- Intellectual Property
All designs, drawings, and specifications remain our intellectual property unless agreed otherwise in writing.
- Data Protection
We process personal data in accordance with our Privacy Policy and applicable UK GDPR legislation.
- Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
- Acceptance
By accepting a quotation, placing an order, or instructing us to proceed, the Customer confirms acceptance of these Terms & Conditions.
